These Terms of Service ("Terms") govern your use of the PlanUpPro application ("Service") operated by VIKEN SIA ("Company", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

PlanUpPro is an AI-powered tool that helps construction contractors generate professional estimates, quotes, change orders, and invoices. The Service uses artificial intelligence in two distinct ways:

Quotes & Change Orders: AI generates itemized estimates based on your spoken or written job descriptions, including suggested line items, quantities, and pricing.
Invoices: AI formats and structures your provided invoice data into a clean, professional layout. The AI does not generate, invent, or modify any prices, quantities, or line items — it only organizes and corrects grammar/spelling in the data you provide.

2. AI-Generated Content Disclaimer

This is the most important section of these Terms.

The estimates, quotes, invoices, and documents generated or formatted by PlanUpPro involve AI assistance and are intended as a starting point only. You acknowledge and agree that:

AI-generated content (quotes, change orders) may contain errors, inaccuracies, or omissions in pricing, quantities, descriptions, calculations, or any other aspect of the generated documents.
AI-formatted content (invoices) organizes data you provide but may still contain formatting errors or misinterpretations.
You are solely responsible for reviewing, verifying, and approving all content before sending any document to a client or using it for any business purpose.
PlanUpPro does not guarantee the accuracy, completeness, or suitability of any AI-generated or AI-formatted content for any purpose.
The Service is a tool to assist you — it is not a substitute for professional estimating, accounting, legal, or tax advice.
Tax calculations are based on the rates you configure in your profile settings. You are responsible for ensuring the correct tax rates are applied for your jurisdiction.

3. Account Registration

To use PlanUpPro, you must create an account with a valid email address and password. You are responsible for:

Maintaining the confidentiality of your account credentials.
All activities that occur under your account.
Providing accurate and complete information in your profile.

4. Acceptable Use

You agree to use the Service only for lawful business purposes related to construction contracting, estimating, and invoicing. You may not:

Use the Service for any illegal, fraudulent, or deceptive purposes.
Attempt to access other users' data or accounts.
Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
Use the Service to generate deliberately misleading or fraudulent quotes or invoices.
Exceed reasonable usage limits or abuse the AI processing capabilities.

5. Intellectual Property

The quotes, estimates, invoices, and documents you create using PlanUpPro are yours. You retain full ownership of all content you generate or format through the Service. The PlanUpPro application, its design, code, and branding are the property of VIKEN SIA.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using PlanUpPro, you consent to the data practices described in the Privacy Policy.

7. Third-Party Services

PlanUpPro integrates with third-party services to provide its functionality, including:

AI services — for generating and revising quotes, and formatting invoices based on your input.
Speech-to-text services — for transcribing voice recordings into text.
Cloud infrastructure — for data storage and authentication.

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for any issues arising from third-party services.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

VIKEN SIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business, or data.
VIKEN SIA shall not be liable for any errors, inaccuracies, or omissions in AI-generated or AI-formatted content, including incorrect pricing, calculations, or descriptions.
VIKEN SIA shall not be liable for any business decisions made based on documents generated or formatted through the Service.
Our total liability for any claims arising from the use of PlanUpPro shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate.

10. Indemnification

You agree to indemnify and hold harmless VIKEN SIA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or any dispute between you and your clients related to documents generated through PlanUpPro.

11. Termination

We may suspend or terminate your account at any time if you violate these Terms. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the Service. Your continued use of PlanUpPro after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Latvia. Any disputes arising from these Terms shall be resolved in the courts of Latvia.
